Changes to ‘Right to Manage’ Companies in England

The 'RTM Companies (Model Articles) (England) Regulations 2009' (SI 2009/2767) apply to all ‘Right to Manage’ companies registered with Companies House.

These regulations came into force on the 9 November 2009 and replaced the 'RTM Companies (Memorandum and Articles of Association) (England) Regulations 2003'. They automatically apply to all RTM companies from the 1st October 2010, unless a company has already adopted them by special resolution.

Up to and including 30th September 2010, older Right to Manage Companies (registered at Companies House before 9 November 2009) can choose to adopt the revised articles and send a copy of the articles together with a special resolution passed by the members of the company.

From 1st October 2010 the new model of Articles of Association will be automatically applied to all Right to Manage companies incorporated prior to 9th November 2009 who have not already adopted them.

Please note separate regulations apply to Welsh RTM companies.

The Welsh Assembly Government is seeking to introduce their regulations as soon as possible.
