Memorandum and Articles of Association

The articles of association of the Post Office company give the Secretary of State for Trade and Industry, as special shareholder, certain rights - in particular the right to be consulted on, and to:

  • approve the appointment and removal of any director of the company, and directors' remuneration and terms & conditions of employment;

  • approve the company's strategic plan (including the parameters for setting staff pay);

  • approve disposal of significant assets of the company;

  • approve borrowing by the company in excess of certain thresholds - essentially over £75 million in any year.

The strategic plan of the company is a commercially sensitive document and will not be published, but the Government will announce each year when it has approved the plan and set the profit target for the year.
