Company Law Reform

The Government published a White Paper (click to view) "Company Law Reform" in March 2005. This White Paper sets out the Government's proposals for comprehensive reform of our company law framework to bring it in line with modern business needs. The reforms build on the work of the Company Law Review (CLR) and will be introduced through the Company Law Reform Bill.

European Company Law and Corporate Governance: Directive Proposals on Company Reporting, Capital Maintenance and Transfer of the Registered Office of a Company

A consultative document seeking your views on three legislative measures which form part of the European Commission’s Action Plan on Company Law and Corporate Governance: A proposal to amend the 4th/ 7th company law directives strengthening EU reporting standards; a proposal to amend the 2nd company law directive (capital maintenance); and a proposal for a new transfer of registered office of a company directive.
