Woolworths Group plc / Bertram Group Ltd. Inquiry

Members:

Diana Guy and her husband own 11,888 Tesco shares in a joint portfolio and Diana Guy has 2,325 shares in a Personal Equity Plan.
Ivar Grey owns 6800 Tesco shares in a pension fund.
Diana Guy and Ivar Grey do not believe that the matters disclosed above in relation to them will affect their ability to act impartially and independently as a member of the Group. The CC is satisfied that their shareholdings will not affect their ability to act independently or impartially in discharging the CC’s functions in this inquiry.

Staff:

The wife of the Woolworths/Bertram’s Inquiry Director worked for Blackwells until 1999 and has pension rights in that competitor. One of the statisticians working on the Woolworths/Bertram inquiry conducted business performance modelling consultancy for Woolworth’s Human Resources function in 2004. The wife of one of the business advisers on this inquiry is an employee of a Pearson subsidiary. The brother of one of the legal advisers works for a company linked to Blackwells.

The CC does not believe that the matter disclosed above in relation to the Inquiry Director, the statistician, the business adviser or the legal adviser affects their ability to act impartially and independently in advising the Group.
