Members’ interests:

Professor Waterson has published on aspects of the brewing industry, in respect of its relationships with retailers, and plans to publish in this area. He has also published a jointly authored book on the food industry, again focusing on relationships between retailers and manufacturers of food.

Professor Waterson believes that he can discharge the obligations of a member of the Group investigating this inquiry independently and impartially. The Competition Commission believes that the matters described above will not affect his ability to act independently or impartially in discharging the CC’s functions in this inquiry.

Diana Guy and her husband have several investments in Diageo, a drinks manufacturer and customer of the merging companies. These investments are managed on their behalf by Lloyds TSB Private Banking on a wholly discretionary basis (she has no influence over which shares are held). These investments are:

  • Diana Guy and her husband hold 600 Ordinary Diageo shares in a joint portfolio
  • Diana Guy holds 2,742 Diageo shares in a Personal Equity Plan (PEP) and her husband holds 565 Diageo shares in a PEP
    Diana Guy also holds 2000 Diageo shares in her Self Invested Personal Pension, which is managed on a wholly discretionary basis by Whitefoord Limited.

Carolan Dobson’s husband also owns 619 shares in Diageo.

Diana Guy and Carolan Dobson do not believe that the matters disclosed above in relation to them will affect their ability to act impartially and independently as Chair and member of the Group, respectively. The CC is satisfied that Diana Guy’s and Carolan Dobson’s shareholdings will not affect their ability to act independently or impartially in discharging the CC’s functions in this inquiry.

Staff interests:

The wife of John Hodgson, a member of staff working on this inquiry, owns 2000 shares in Cadbury Schweppes, a drinks manufacturer. The CC does not believe that the matter disclosed above in relation to Mr Hodgson affects his ability to act impartially and independently in advising the Group.
